These Terms of Service (the "Terms") govern your use of the 22PORTRAITS website and the photography and video services provided by 22PORTRAITS LLC. By booking a session, submitting an inquiry, or using our website, you agree to these Terms.

1. Acceptance of these terms

22PORTRAITS is operated by 22PORTRAITS LLC ("22PORTRAITS," "we," "us," or "our"). These Terms form an agreement between you and 22PORTRAITS. If you do not agree with them, please do not book a session or use our website. We may provide a separate written booking confirmation or agreement for a specific session; where it conflicts with these Terms, the session-specific agreement controls for that session.

2. Services

We provide professional photography and video services, including headshot and portrait sessions, corporate and team photography, event photography, and video and podcast production. Sessions may take place at our Miami studio or on location, as arranged. Specific deliverables, session length, and pricing are described at the time of booking or in your quote.

3. Booking and payment

A deposit may be required to reserve your session date and time; your booking is confirmed once the deposit is received. Any remaining balance is due as stated in your booking confirmation. Payments and deposits are processed securely through our third-party processors, Stripe and Square. Prices are quoted in U.S. dollars and, unless stated otherwise, do not include applicable taxes.

4. Rescheduling and cancellation

We understand that plans change. You may request to reschedule your session with reasonable advance notice, subject to availability. Because reserving your date takes time slots away from other clients, deposits are non-refundable and are applied toward your rescheduled session. Missed sessions, or cancellations without reasonable notice, may forfeit the deposit. Specific rescheduling and cancellation terms for your booking will be confirmed at the time of booking.

5. Delivery of images

After your session, we select and professionally edit your images and deliver the final files digitally, typically through a secure download link, within the timeframe communicated for your session. Delivery timelines are estimates and may vary with session type, volume, and scheduling. We retain backup copies of delivered work as described in our Privacy Policy.

6. Image licensing and usage

Upon full payment, you receive a license to use your delivered images for your own personal and professional purposes - for example, on your website, social profiles, resume, and business materials. 22PORTRAITS retains the copyright in all images we create. Unless we agree otherwise in writing, you may not resell the images, claim authorship, or license them to third parties (such as stock libraries).

22PORTRAITS may display delivered work in our portfolio, on our website, and in marketing materials unless you ask us not to. If you prefer that your images not be used for portfolio or marketing purposes, let us know and we will honor your request. See our Privacy Policy for how we handle your images.

7. Client responsibilities

To help your session go smoothly, you agree to provide accurate booking information, arrive on time, and communicate any special requirements in advance. For on-location and event work, you are responsible for securing any needed venue access and permissions. You confirm that you have the authority to book the session and, where applicable, consent for any individuals being photographed (including minors, for whom a parent or guardian must consent).

8. Intellectual property

All content on our website - including text, graphics, logos, and photographs - is owned by 22PORTRAITS or its licensors and is protected by intellectual property laws. You may not copy, reproduce, or use our website content or portfolio images without our permission, except for the licensed use of your own delivered images as described above.

9. Disclaimers and limitation of liability

We provide our services with professional care. To the fullest extent permitted by law, our services and website are provided "as is" without warranties of any kind, and 22PORTRAITS is not liable for indirect, incidental, or consequential damages. In any event, our total liability arising out of or relating to a session or these Terms will not exceed the amount you paid for the applicable session.

10. Indemnification

You agree to indemnify and hold harmless 22PORTRAITS LLC and its owners, employees, and contractors from any claims, damages, or expenses arising out of your breach of these Terms, your misuse of delivered images, or your failure to obtain any consents or permissions required for a session or event.

11. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. The Terms in effect at the time of your booking apply to that booking.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or our services will be brought in the state or federal courts located in Miami-Dade County, Florida.
